These Terms of Service ("Terms") govern access to and use of the PortGuard partner portal, operated by Valerio Lollini ("the Operator"), based in St Julian's, Malta. Accessing the portal constitutes full acceptance of these Terms.
1. Access conditions
Access to the portal is reserved for commercial partners authorized by the Operator.
Access credentials are personal and may not be transferred to third parties.
The Operator may grant, suspend or revoke access at its discretion in the event of a breach of these Terms.
2. Partner obligations
Keep your access credentials confidential and secure.
Provide and keep up to date accurate identification and contact details.
Use the portal and the licenses generated solely within the scope of the authorized commercial activity.
Promptly report any unauthorized access or account compromise.
Do not attempt to circumvent, decompile or tamper with the licensing or security systems.
3. Licenses and credits
Allocated credits allow the generation of licenses for the partner's end customers.
Licenses are subject to the terms of the product EULA, available on the EULA page.
Pricing terms, discounts and minimum volumes are governed by the separately signed Partner Agreement and NFR Agreement.
4. Limitation of liability
The portal and its materials are provided "as is". To the extent permitted by applicable law, the Operator is not liable for indirect damages, loss of data or lost profits arising from use of the portal. The Operator's total liability is in any case limited to the amounts paid by the partner in the 12 months preceding the event.
5. Suspension and termination
The Operator reserves the right to suspend or terminate the partner's account in the event of a breach of these Terms, non-payment, or fraudulent use of licenses, with notice given by email.
6. Contractual references
The full commercial terms are governed by the Partner Agreement and the NFR Agreement. In the event of a conflict between these Terms and those agreements, the latter prevail.
7. Governing law
These Terms are governed by Maltese law. The courts of Malta have jurisdiction over any dispute.
